Terms of Service

1. Agreement to these Terms

These Terms of Service (“Terms”) are a binding agreement between you and Vytech, Inc. (“we,” “us,” “our”) governing your use of VyQuest at vyquest.ai, our iOS app, and any related service (the “Service”). By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Who may use the Service

The Service is intended for commercial real estate professionals. You must be at least 18 years old and able to form a binding contract. If you use the Service on behalf of an organization, you represent that you are authorized to accept these Terms for that organization.

3. Your account

• You are responsible for keeping your sign-in credentials secure and for all activity under your account.
• You must provide accurate information and keep it current.
• You must keep at least one sign-in method (email/password, Google, Apple, or Microsoft) attached to your account.
• Notify us promptly at support@vyquest.ai if you suspect unauthorized use of your account.

4. Your content

“Your Content” means the properties, documents, notes, and messages you create, upload, or forward to the Service. You retain all rights in Your Content. You grant us a limited license to host, process, and display Your Content solely to operate and improve the Service for you, including sending it to the third-party AI and infrastructure providers described in our Privacy Policy. We do not use Your Content to train AI models and we do not sell it.

You are responsible for Your Content and for having the rights necessary to upload it. Do not upload content you are not permitted to share.

5. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
• Upload malware, attempt to breach security, or interfere with the operation of the Service;
• Reverse engineer, scrape, or attempt to extract source code except as permitted by law;
• Resell, sublicense, or provide the Service to third parties as a standalone product;
• Misuse the AI assistant to generate content that is unlawful, infringing, or harmful.

6. AI assistant — no professional advice

The Service uses AI to extract information from documents and to answer questions. AI output may be incomplete or incorrect. It is provided for informational purposes only and is not legal, financial, tax, brokerage, or investment advice. You are responsible for independently verifying any output before relying on it in a transaction or decision.

7. Subscriptions and payment

Some features may require a paid subscription. Pricing and billing terms are presented at the point of purchase. Subscriptions purchased through the Apple App Store are billed by Apple and are subject to Apple's terms; manage or cancel them in your Apple account settings. Except where required by law, payments are non-refundable.

8. Third-party services

The Service integrates with third parties such as Google Drive and Dropbox at your option. Your use of those services is governed by their own terms, and we are not responsible for them. You can disconnect connected services at any time from the dashboard.

9. Termination and account deletion

You may stop using the Service and delete your account at any time from Settings → Account & Security → Delete account, in the web app or the iOS app. Deletion is immediate, permanent, and removes Your Content as described in the Privacy Policy. We may suspend or terminate your access if you violate these Terms or to protect the Service or other users.

10. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI output will be accurate.

11. Limitation of liability

To the fullest extent permitted by law, Vytech, Inc. and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim or one hundred U.S. dollars (US$100).

12. Indemnification

You agree to indemnify and hold harmless Vytech, Inc. from any claims, damages, liabilities, and expenses arising from Your Content, your use of the Service, or your violation of these Terms.

13. Changes to the Service or these Terms

We may modify the Service or these Terms from time to time. If we make material changes to these Terms we will notify you by email or by a notice inside the Service before the changes take effect. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms. The “Effective” date above indicates when these Terms were last updated.

14. Governing law

These Terms are governed by the laws of the State of Delaware, U.S.A., without regard to its conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Delaware, and you consent to their jurisdiction.
